1. The agreement
This End User Licence Agreement ("EULA") is a binding agreement between you and UnlockedEditor ("UnlockedEditor", "we", "us", or "our"), a company operating from the United Kingdom. It governs your installation and use of any UnlockedEditor software, including updates, patches, and related documentation (together, the "Software").
By installing, copying, or otherwise using the Software, you agree to be bound by this EULA and our Terms of Service. If you do not agree, do not install or use the Software.
The Software may include or connect to online AI-powered features, which are delivered as a Service rather than as part of the licensed Software. Your use of those AI features is additionally governed by section 7 of our Terms of Service.
2. Licence grant
Subject to your compliance with this EULA, UnlockedEditor grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on devices you own or control, solely for your personal use.
The Software is licensed, not sold. We retain all rights not expressly granted.
3. Restrictions
You must not, and must not permit anyone else to:
- Reverse engineer, decompile, disassemble, modify, translate, or otherwise attempt to discover the source code, ideas, algorithms, or underlying structure of the Software, except to the limited extent this restriction is prohibited by applicable law.
- Circumvent, disable, or otherwise interfere with security, licensing, anti-cheat, anti-tamper, or authentication features of the Software.
- Copy, distribute, resell, rent, lease, sublicense, or otherwise make the Software available to any third party.
- Create derivative works of, or incorporate any part of, the Software into other products.
- Use the Software to violate any law or the terms of any third-party service or game.
- Share, sell, or transfer your account, licence keys, or credentials.
Violating this section may result in the immediate and permanent termination of your licence and your account, and the loss of access to our Services, with no refund owed. We may also take further action where your conduct causes us loss.
4. Updates
The Software may automatically check for, download, and install updates to improve functionality, compatibility, and security. Some updates may be required to keep using the Software. Updates are covered by this EULA unless a separate agreement accompanies them.
5. Data collected by the Software
The Software may collect session logs containing your IP address and hardware identifier ("HWID") to protect against chargebacks, fraud, and abuse, and may send anonymous telemetry about usage and performance. How we use this data is described in our Privacy Policy.
If you use AI features through the Software, the prompts, attachments, and related metadata you submit are transmitted to third-party AI providers so they can generate a response. This data flow is described in section 3 of our Privacy Policy.
6. Third-party content
The Software is not affiliated with, endorsed by, or sponsored by any game, game publisher, or engine referenced by or compatible with it. You are responsible for making sure your use of the Software complies with the terms of any third-party products or services you use it with.
7. Intellectual property
The Software and all intellectual property rights in it are and remain the property of UnlockedEditor or its licensors. Nothing in this EULA transfers ownership of the Software or any related intellectual property to you.
8. Termination
This EULA applies for as long as you use the Software. We may suspend or terminate this licence at any time if you breach this EULA or our Terms of Service, or if we reasonably suspect fraud, abuse, or circumvention of our protection systems. On termination, you must stop using and remove all copies of the Software from your devices. Sections that by their nature should survive termination (including restrictions, intellectual property, disclaimers, and limitations of liability) will continue to apply.
9. No warranty
The Software is provided "as is" and "as available", without warranty of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Software will be uninterrupted, error-free, secure, or compatible with every system, configuration, or third-party product.
10. Limitation of liability
To the fullest extent permitted by law, UnlockedEditor will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or account access, arising out of or in connection with your use of the Software. Our total liability for any claim relating to the Software will not exceed the amount you paid us for the Software in the twelve months before the event giving rise to the claim.
Nothing in this EULA limits or excludes any liability that cannot be limited or excluded under UK law, including liability for death or personal injury caused by our negligence or for fraud.
11. Changes to this EULA
We may update this EULA at any time. When we do, we will update the "Last updated" date above and will notify you either by email or the next time you launch the Software. Continued use of the Software after changes take effect means you accept the updated EULA.
12. Governing law
This EULA is governed by the laws of England and Wales. Any dispute arising out of or in connection with it is subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory local consumer laws grant you additional rights.
